1. Acceptance of Terms
These Terms and Conditions ("Terms") govern the use of www.mirrormira.com (the "Website") and the engagement of any professional service offered by Mirrormira Consulting Services ("Mirrormira", "we", "us", or "our"), a statutory compliance and HR consulting firm with offices in Chennai, Madurai and Puducherry, Tamil Nadu, India.
By accessing the Website, submitting an enquiry, or signing a written Letter of Engagement (LoE) or Service Agreement with us, you ("Client", "you" or "your") confirm that you have read, understood and unconditionally agree to these Terms. If you do not agree, please discontinue use of the Website and do not engage our services.
2. Scope of Services
Mirrormira provides advisory, process-execution and representation services broadly classified under the following practice areas:
- Payroll Management & Outsourcing
- EPF / PF Registration, Monthly Filing & Inspection Support
- ESIC Registration, Contribution Filing & Claim Support
- Professional Tax (PT) Advisory, Remittance & Returns
- Minimum Wages Notification Implementation & Audits
- Contract Labour (CLRA) — Principal Employer Compliance
- Payment of Bonus Act & Payment of Gratuity Act Advisory
- Tamil Nadu Shops & Establishments Act Compliance
- Tamil Nadu Catering Establishments Act Compliance
- Any other labour-law / statutory compliance service explicitly documented in the LoE.
The exact scope for any engagement is always documented in a signed LoE or Service Agreement. Any service not listed in the signed LoE is expressly excluded.
3. Client Obligations
To enable Mirrormira to deliver services with reasonable care and skill, the Client agrees to:
- Provide accurate, complete and timely information (attendance, salary data, employee master, statutory documents, notices received etc.) as per the schedule mutually agreed in the LoE.
- Provide all requested documentation, logins, signatures and approvals within 48 (forty-eight) working hours of any written request from Mirrormira.
- Inform Mirrormira immediately of any changes in ownership, constitution, factory/office address, branch additions, employee count or contractor appointments that may impact compliance.
- Ensure funds for all statutory challans (EPF, ESIC, PT, labour-welfare contributions, etc.) are available in the Client's designated bank account before every due date.
- Appoint a single point of contact (SPOC) on the Client side for all deliverables and approvals.
4. Fees, Invoicing & Payment Terms
- Professional fees are as specified in the signed LoE and are exclusive of GST, stamp duty, notary charges, government fees, third-party courier and out-of-pocket expenses.
- Recurring monthly / quarterly service fees are invoiced in advance (on the 1st of the calendar month) and are payable within 7 (seven) days of the invoice date, unless otherwise specified in the LoE.
- One-time project / registration fees are either (a) 100% advance on LoE signing, or (b) 50% on signing + 50% on successful completion — as specified in writing.
- All payments shall be made by NEFT / RTGS / IMPS / UPI / crossed account-payee cheque in favour of Mirrormira Consulting Services to the bank account specified on the invoice.
- Late payment: An interest of 1.5% per month (compounded monthly) shall apply on all overdue amounts, without prejudice to Mirrormira's right to suspend all services until full payment is received.
- GST (currently 18%) is chargeable on all invoices in accordance with the CGST / SGST / IGST Acts, as applicable for the place of supply.
5. Deliverables & Service Standards
- Mirrormira agrees to perform services with the level of skill and care reasonably expected of an experienced statutory-compliance firm in Tamil Nadu.
- Service turnaround times are those specified in the LoE. Where no turnaround time is documented, Mirrormira will use reasonable endeavours consistent with the nature and urgency of the work.
- Delay caused by the Client's failure to provide information, documents, approvals or funds shall automatically extend the applicable timeline and release Mirrormira from any liability arising from such delay.
- All filings are submitted through official Government portals (EPFO Unified, ESIC Shram Suvidha, TN PT e-Payment portal, etc.). Filing acknowledgement / challan reference is shared with the Client on the same day as submission.
6. Confidentiality
Both parties agree to keep strictly confidential all non-public information received from the other party, including business plans, financials, employee personal data, inspection notices, pricing structures and trade secrets. This obligation:
- Survives termination or expiry of the engagement for a period of 7 (seven) years.
- Does not apply to information that (a) is or becomes publicly available through no fault of the receiving party, (b) was already lawfully known by the receiving party, or (c) is required to be disclosed by applicable law, regulation, court order or statutory authority.
- Mirrormira may use the Client's company name and logo in a non-exhaustive published list of clients served — unless the Client explicitly opts out in writing.
7. Intellectual Property Rights
- All Website content (text, graphics, logos, icons, images, audio, software and HTML/CSS/JS code) is the exclusive property of Mirrormira or its licensors and is protected under Indian copyright and trademark laws.
- Deliverables created for the Client under an engagement (such as payroll reports, audit reports, filled forms and representations) become the property of the Client upon full payment of all related fees.
- Our proprietary processes, methodologies, checklists, templates and know-how remain the intellectual property of Mirrormira at all times.
8. Limitation of Liability
- Mirrormira's total cumulative liability to the Client (whether in contract, tort, negligence, breach of statutory duty or otherwise) for any and all losses, damages, costs and expenses arising out of or relating to any engagement, shall in no circumstances exceed the total professional fees actually paid by the Client to Mirrormira during the 12 (twelve) calendar months immediately preceding the event giving rise to the claim.
- Mirrormira shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages (including but not limited to loss of profits, business interruption, loss of data, loss of goodwill, fines imposed by statutory authorities arising from delay in Client-provided information) even if advised of the possibility of such damages.
- Nothing in these Terms shall operate to exclude or restrict liability for (a) death or personal injury caused by the negligence of Mirrormira, its partners, employees or sub-contractors; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited by applicable Indian law.
9. Term & Termination
- Each engagement runs for the term stated in the LoE. Where no term is stated, the engagement is month-to-month and may be terminated by either party on 30 (thirty) calendar days' written notice.
- Either party may terminate immediately by written notice if the other party: (a) commits a material breach of these Terms and fails to cure it within 15 (fifteen) days of written notice; (b) becomes insolvent, enters liquidation, makes a composition with creditors, or has a receiver / administrator appointed over any substantial part of its assets; (c) has its licence / registration suspended or cancelled by a regulatory authority.
- On termination, the Client shall pay all fees for services performed up to the termination date. Mirrormira shall hand over all original Client documents, data and access credentials within 10 (ten) working days of receiving full and final payment.
10. Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations if caused by an event beyond its reasonable control — including but not limited to natural disasters, pandemics / epidemics, government-imposed lockdowns, internet outages affecting official Government portals, civil unrest, war, terrorism, strikes, lock-outs or unavailability of the EPFO / ESIC / other e-filing platforms. The affected party shall promptly notify the other and use reasonable endeavours to mitigate the impact.
11. Website Use Terms
- The Website is provided on an "as is" and "as available" basis for general informational purposes only.
- No content on the Website constitutes legal, financial or tax advice. Each visitor should consult a qualified professional for their specific circumstances before relying on any blog article or page content.
- You agree not to misuse the Website, including by submitting false information, uploading malicious code, attempting unauthorised access, scraping content, or infringing our intellectual property rights.
12. Dispute Resolution & Governing Law
- These Terms and all engagements under them are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles.
- Subject to clause 12.3, any dispute, controversy or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent civil and commercial courts located in Chennai, Tamil Nadu, India.
- As far as legally permissible, disputes involving claims below ₹1,00,000 (Rupees One Lakh only) shall first be submitted to good-faith mediation between the parties for 30 (thirty) days before any court proceedings are initiated.
13. General Provisions
- Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: No failure or delay by either party in exercising any right shall operate as a waiver of that right.
- Assignment: The Client may not assign any engagement or rights under these Terms without the prior written consent of Mirrormira. Mirrormira may assign or sub-contract any part of its obligations with 30 days' prior written notice.
- Entire Agreement: These Terms together with the signed Letter of Engagement constitute the entire agreement between the parties and supersede all prior oral or written understandings on the same subject matter.
- Amendments: Mirrormira may update these Terms from time to time. The latest version will always be published on this page with the "Last Updated" date at the top. Material changes are notified to active clients by email.
